At Terraflos we have a growth model based on progressive partnership with companies that can integrate into the ecosystem and amplify themselves with our capabilities in science, technology, production, brand, distribution, and capital.
The thesis is simple: independent companies can grow; but integrated within our platform they can grow faster and with greater strategic value.
We don't buy or operate companies like a traditional financial holding. Our model is to partner with entrepreneurs and companies with potential, support them as they grow, and gradually integrate them into the Terraflos ecosystem, keeping founders as leaders of the business.
Although every agreement has its particularities, the integration process usually unfolds in three stages:
Terraflos makes a strategic investment in the partner company, generally acquiring a stake close to 25%. The main goal of this investment is to provide capital, strategic capabilities, and access to the ecosystem. The company keeps its identity, its founding team, and its operational autonomy, but begins to benefit from the group's capabilities.
Terraflos usually acquires an additional stake of approximately 26%, reaching 51% of the company. At this point, the relationship evolves into a deeper alliance with the entrepreneurs. Part of the transaction may include liquidity for the founders and, at the same time, equity participation in Terraflos. This way, entrepreneurs not only continue leading their company but also become part of the growth and value creation of the Terraflos group.
The third stage contemplates the possibility of full integration, through the acquisition of the remaining 49%. At that point, the company becomes 100% aligned with Terraflos's joint strategy, operationally, strategically, and economically.
This complete integration maximizes synergies, consolidates capabilities, scales products, shares infrastructure, optimizes margins, and builds a more robust platform for regional and global growth.
